Star Maxx Digitalis Ludus Philippines, Inc. (“Star SineMax”) aims to produce, operate, host or collaborate digital hosting, online distribution and interactive live streaming platform of movies, live events, shows, news and sports, entertainment and music videos, original programming contents and movies, online pay-per-view subscription, channel subscription, and other online content (“Content”) to a wide variety of audience both locally and globally.

As such, Star SineMax provides a personalized subscription service that allows subscribers to access its Content, including over the Internet on certain Internet-connected TVs, computers and other devices (“Services”).

The following terms and conditions apply to all visitors and/or registered subscribers who access or use Star SineMax’s Services through compatible devices and through available platforms, including but not limited to, Star SineMax’s website or the Star SineMax app.

By accessing and/or using Star SineMax’s website/app or the Star SineMax’s Services, the user agrees to be bound by these Terms and Conditions, as updated from time to time.

Subscription and Accessibility

The accessibility of Star SineMax’s Services through different devices depends on the current system capabilities, operating systems, browsers installed on the device, among others.
Due to technical and other restrictions imposed by content providers, the Services may only be available in certain locations. The Content and how Star SineMax offers its Services and Content will vary over time and by location. Star SineMax may use technologies to verify the user’s geographic location.
Users may register for a subscription to Star SineMax’s Services through its platforms. By registering for a subscription, the user warrants that (1) he/she is at least 18 years of age or the age of majority, where older under local law, (2) all information provided during the registration process is true and accurate, and (3) he/she will provide a current, valid, and accepted method of payment throughout the term of subscription. Successful registration for a subscription to Star SineMax’s Services is subject to Star SineMax’s acceptance and confirmation.
The user’s Star SineMax subscription will continue until terminated. To use Star SineMax’s Services, the user must have Internet access and a capable device, and provide Star SineMax with one or more Payment Methods. Unless subscription is cancelled before the end of billing date, the user authorizes Star SineMax to charge the subscription fee for the next billing cycle to the available Payment Method.

Promotional Offers

Star SineMax may from time to time offer special promotional offers, plans or memberships (“Offer”), including free trial periods, at its own discretion or in partnership with third parties. Offer eligibility is determined by Star SineMax at its sole discretion. Star SineMax reserves the right to revoke an Offer and put an account on hold in the event that such user is ineligible for such Offer. The eligibility requirements and other limitations and conditions will be disclosed during sign-up for the Offer or in other communications made available to the user.
Unless the user duly cancels his/her free subscription upon the expiration of such period, the subscription fee for Star SineMax’s Services will be charged to the user’s Payment Method.

Payment and Billing

The subscription fee for Star SineMax’s Service and any other charges the user may incur in connection with the user’s use of the Services will be charged to the user’s Payment Method on the specific payment date indicated on the "Account" page. The length of billing cycle will depend on the type of subscription that the user chooses upon signing up for the Services. The subscription fee will be charged to the user on a recurring basis unless cancelled.
If payment is not successfully settled for any reason, Star SineMax reserves the right to suspend access to the full library of Star SineMax’s Services until successful receipt of payment. By accepting these Terms and Conditions, the user authorizes Star SineMax to continue billing on the basis of the given payment details and the user remains responsible for any unsettled amount.
All subscription fees are payable in advance. Star SineMax will not refund any subscription fees already paid, as well as for partial time periods or unused portions of the user’s subscriptions, as permissible by law.
Star SineMax may change the price of subscription to its Services and will communicate any price changes prior to such implementation.
To use Star SineMax’s Services, the user must provide one or more Payment Methods. The user authorizes Star SineMax to charge any Payment Method associated to his/her account in case the primary Payment Method is declined or no longer available to Star SineMax for payment of the subscription fee. The user remains responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and the user does not cancel his/her account, Star SineMax reserves the right to suspend access to the Services until successful charging from a valid Payment Method.
The user can update his/her Payment Methods by going to the "Account" page.
The user can cancel his/her Star SineMax subscription at any time, and will continue to have access to Star SineMax’s Services through the end of the billing period.

Star SineMax’s Services

The user must be at least 18 years of age, or the age of majority in the user’s territory or country, to subscribe to Star SineMax’s Services. Minors may only use the service with the consent and under the supervision of an adult.
Star SineMax’s Services and any content accessed through the service are for the user’s personal and non-commercial use only and may not be shared with third-parties. During the period of the subscription, Star SineMax grants the user a limited, non-exclusive, non-transferable right to access Star SineMax’s Services and Content.
The user may access Star SineMax’s Content only in geographic locations where Star SineMax offers its Services and have licensed such content. The Content that may be available will vary by geographic location and will change from time to time.
Star SineMax’s Services, including the Content library, is regularly updated.
The user agrees to use Star SineMax’s Services, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein.

Warranties and Limitations on Liability

Star SineMax’s Services are provided "as is" and without warranty or condition. In particular, Star SineMax’s Services may not be uninterrupted or error-free. The user waives all special, indirect and consequential damages against Star SineMax.

Miscellaneous

These Terms and Conditions are governed by the laws of the Philippines and the user agrees to submit to the exclusive jurisdiction of the Philippines courts.
The user agrees to indemnify Star SineMax, its employees, its content providers, sub-contractors, licensors and/or agents against any action, liability, cost, claim, loss, damage, proceeding, and/or expense suffered or incurred by Star SineMax arising from or which is related to the user’s use or other’s use of the Services through a registered account, and any breach or non-observance of any of these Terms and Conditions by the user. This provision shall survive the termination of the agreement between Star SineMax and the user for Star SineMax’s Services and Content.
Unauthorized access to Star SineMax’s Services and/or any Content is a breach of these Terms and Conditions and a violation of the law. As such, Star SineMax is authorized to suspend or end the user’s access to the Services and Content without prior notice.
Star SineMax may limit, suspend, end or restrict the user’s access to its Services and Content, without prior notice unless it is reasonably practicable to give notice in the following instances:
- the law or any governmental authority requires Star SineMax to do so;
- there is an emergency that affects Star SineMax’s ability to provide its Services or Content;
- Star SineMax’s Services or any Content is withdrawn from distribution through Star SineMax’s Services for whatever reason;
- Star SineMax no longer holds the right to distribute its Services or any particular Content on the Star SineMax platform;
- Star SineMax fails to obtain, hold, retain or renew any relevant regulatory approvals or if any relevant regulatory approvals are revoked or if Star SineMax are required by a relevant authority to cease transmission of its Services and/or Content; or
- Star SineMax’s Services or Content including any advertising material therein fails to comply with any regulatory standards, relevant laws or any requirements or orders issued from time to time by a relevant authority.
In certain instances, Customer Service may best be able to assist the user by using a remote access support tool through which Star SineMax has full access to the user’s computer. The user may deny such access anytime during the said remote access.
If any provision or provisions of these Terms and Conditions shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
Star SineMax may, from time to time, change these Terms and Conditions without further notice. However, Star SineMax will, as far as practicable, notify users at least thirty days before such changes are implemented. Star SineMax may assign or transfer the agreement with the user including associated rights and obligations at any time and the user agrees to cooperate in connection with such assignment or transfer.
Star SineMax may send the user information relating to his/her account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only.
